You understand and agree that we may change the Terms from time to time and that any such changes will be effective immediately when we post the modified Terms. Your continued access of the Orease Waste platform and use of the Orease Waste Services after we post the modified Terms will constitute your consent to be bound by the modified Terms.

If you are accessing or using the Orease Waste Platform as a contractor, your independent contractor agreement with Orease Waste (Contractor Agreement") also applies. If you are accessing or using the Orease Waste platform as ( or on behalf of) a property manager or property owner, the Service Agreement between Orease Waste and the property owner (Service Agreement") also applies. In the event of a conflict between these Terms and Contractor Agreement or Service Agreement, the Contractor Agreement or Service Agreement will control.

Terms used herein and not otherwise defined shall have the meaning set forth in the Definitions section included at the end of the Terms.

1. THE SERVICES

We understand that the information shared when using our services is sensitive, and it is not intended for distribution to those in jurisdictions where it may conflict with local laws or regulations. However, if you choose to access our services from other locations, please remember that you are responsible for adhering to any relevant local laws and regulations. We encourage all clients to take the initiative in understanding their legal obligations when utilizing our services.

2. INTELLECTUAL PROPERTY RIGHTS

As the owner of all intellectual property rights in our offerings, we ensure that every detail—from our innovative software and website designs to the graphics and audio we provide—exemplifies our commitment to quality.

Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world.

Users of the Services may posts reviews, opinions, comments, drawings, photos, videos, and other content, and may submit feedback suggestions, idea, comments, and questions, (collectively, "submissions"), provided such Submissions comply with section 4 below and are not invasive of privacy, infringing of intellectual property rights (including public rights), or otherwise injurious to third parties. You hereby grant to Orease Waste a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, reproduce, modify, adapt, display, perform publish and ditributeany Submissions that you upload, post or submit to the Orease Waste or otherwise share with Orease Waste or our service providers, in any media or format. The foregoing license includes the right to use the name that you submit in connection with the Submissions. Orease Waste has the right, but not the obligation, to monitor and edit or remove any Submission, activity, or other content. We are not responsible for and assume no liability for and assume no liability for, any content posted by you or any third party.

3. Restrictions on Use; Acceptable Uses.

As your partner in responsible trash management, it is essential that we operate within the bounds of legality and ethics. I encourage all our clients to represent that you are at least 18 years of age and capable of entering into these Terms. By safeguarding our operations against laws imposed by the U.S. Government, we can create a trustworthy and compliant waste management service that serves everyone in the community. You may not; sell; resell; transfer, assign, copy, distribute, market, sublicense or otherwise commercially exploit the Orease Waste Platform or services or make them available to any third party in any way; benchmark, display publicly, decompile, disassemble, reduce to human redable form, execute publicly, adapt, process, compile, translate, lend, rent, or reverse engineer the Orease Waste Platform or combine the Prease Waste or any of the services with other software or services; copy any ideas, features, workflows, functions or graphics or the Orease Waste Platform services or any content; remove or tamper with any trademark, logo, copyright, or other intellectual property notice appearing on or contained within the Orease Waste Platform or Services, whether of Orease Waste or any other third parties; or otherwise us the Orease Waste Platform or Services not in compliance with the Agreement. in addition, you agree not to, in any way; access the Orease Waste Platform by any unauthorized or autimated means other than through an interface that is provided by Orease Waste; interfere with or disrupt the integrity or damage the performance of the Orease Waste Platform, including any hosting services provided by the third parties. We do not tolerate false or misleading information on our platform, as we believe our users deserve the most reliable content. Our focus on compliance and ethical practices extends to preventing the use of automated tools to misappropriate our valuable resources; post commercial content or use the Orease Waste platform to post or share any illegal, defamatory, harassing or fraudulent content; engage in illegal activities; violate the security or integrity of any networker communication systems involved in the Orease Waste Platform; use the services to identify the Service Providers or residents in order to complete transactions outside of the Orease Waste Platform.

Should we find any violation of our policies, we reserve the right to take immediate action. This includes the possibility of removing the offending content, terminating user accounts, and notifying relevant authorities. You agree to indemnify Orease Waste and its entire team, including managers, directors, and contractors, from any claims arising from breaches of any undertakings or any of your actions or omissions with respect to the Orease Waste Platform.

4. Registration and User Account; Responsibilities

When you join our platform, we will request specific contact and personal details to tailor our services to your needs. It's important to note that certain fields are marked as mandatory; without completing these, your registration will not be successful. You agree to supply true, accurate, current, and complete data about yourself. We require that you choose a username that reflects these values, ensuring it’s unique to you and not offensive or inappropriate in any way. Remember, your account is personal; transferring or selling it to others is strictly prohibited. Few may also establish and require from time to time additional or different means of identification for logging in and accessing your account.

You are responsible for maintaining the confidentiality of your account and password, and for all the activities that occur under your account or password.

When registering, you hold the responsibility for providing true and complete details. Failing to do so not only affects your service but also puts your account at risk if shared. Your vigilance in protecting your account credentials is essential.

By engaging with our services, you're taking on the responsibility for any actions linked to your account. This applies equally to anyone using the Orease Waste platform on your behalf. You agree to uphold all applicable laws concerning data privacy and communications.

5. Text Messaging, Email and Telephone Calls; Photo and Videos.

By choosing to connect with us via email, text, or our dedicated platform, you consent to receive timely updates and information in an efficient manner. If you opt-in to receive to receive text-based marketing communications from us, understand and consent that you will receive text messages automatically. You have the freedom to access our platform without the need for consent, which allows you to dive straight into our services. We cannot guarantee the security of your information; utilizing our services is at your own risk. 8. Term and Termination

Our flexible policies ensure that you have the freedom to suspend or terminate your usage of our platform whenever you need to. We respect your decisions and guarantee that upon termination, all access to our services will conclude immediately. You have the autonomy to remove the configuration of your Orease Waste platform directly from your mobile device. You agree and acknowledge that we do not assume any responsibility with respect to, or in connection with, the termination of the services.

Any unauthorized use of the Orease Waste Platform and services or other material failure by you to comply with these Terms will entitle Orease Waste, without derogating from any other remedies available to it, to immediately suspend or terminate these Terms with no liability to you.

9. Disclaimer of Warranties.

THE OREASE WASTE PLATFORM, SERVICES AND THE CONTENT ARE PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS IN RELATION TO THE SERVICE OR THE CONTENT, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY THE OREASE WASTE PARTIES, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE OREASE WASTE PLATFORM OR SERVICES OR ANY CONTENT. THE OREASE WASTE PARTIES DO NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE OREASE WASTE PLATFORM OR SERVICES WILL BE TIMELY, UNINTERRUPTED, ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM, OR DATA, (B) THE OREASE WASTE SERVICES AND/OR THEIR QUALITY WILL MEET YPOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY CONTENT WILL BE ACCURATE OR RELIABLE, (D) ERRORS OR DEFECTS WILL BE CORRECTED, (E) THE OREASE WASTE PLATFORM OR SERVICES OR THE SERVER(S) THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, (F) THE OREASE WASTE PLATFORM OR THE SERVER(S) MAKE THE SERVICES AVAILABLE ARE IMMUNE FROM ANY INTERRUPTION OR SUSPENSION CAUSED BY FACTORS OUTSIDE OF OREASE WASTE OR THE SERVERS' OPERATORS' REASONABLE CONTROL INCLUDING ANY FORCE MAJEURE EVENT OR INTERNET ACCESS OR RELATED PROBLEMS, OR (G) YOUR MOBILE DEVICE WILL BE COMPATIBLE WITH OREASE WASTE'S SOFTWARE, THE OREASE WASTE PLATFORM, AND SERVICES.

10. Limitation of Liability.

THE OREASE WASTE PLATFORM, SERVICES AND THE CONTENT ARE PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS IN RELATION TO THE SERVICE OR THE CONTENT, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY THE OREASE WASTE PARTIES, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE OREASE WASTE PLATFORM OR SERVICES OR ANY CONTENT. THE OREASE WASTE PARTIES DO NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE OREASE WASTE PLATFORM OR SERVICES WILL BE TIMELY, UNINTERRUPTED, ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM, OR DATA, (B) THE OREASE WASTE SERVICES AND/OR THEIR QUALITY WILL MEET YPOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY CONTENT WILL BE ACCURATE OR RELIABLE, (D) ERRORS OR DEFECTS WILL BE CORRECTED, (E) THE OREASE WASTE PLATFORM OR SERVICES OR THE SERVER(S) THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, (F) THE OREASE WASTE PLATFORM OR THE SERVER(S) MAKE THE SERVICES AVAILABLE ARE IMMUNE FROM ANY INTERRUPTION OR SUSPENSION CAUSED BY FACTORS OUTSIDE OF OREASE WASTE OR THE SERVERS' OPERATORS' REASONABLE CONTROL INCLUDING ANY FORCE MAJEURE EVENT OR INTERNET ACCESS OR RELATED PROBLEMS, OR (G) YOUR MOBILE DEVICE WILL BE COMPATIBLE WITH OREASE WASTE'S SOFTWARE, THE OREASE WASTE PLATFORM, AND SERVICES.

UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW, IN NO EVENT SHALL OREASE WASTE'S AGGREGATE LIABILITY WITH RESPECT TO ANY CLAIM ARISINF FROM OR RELATED TO THSES TERMS OR YOUR USE OF OREASE WASTE PLATFORM OR SERVICES EXCEED FIFTY DOLLARS ($50.00)./ IN NO EVENT SHALL OREASE WASTE BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPEACIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE OREASE WASTE SERVICES, INCLUDING BUT NOT LIMITED TO THE USE OR INAB ILITY TO USE THE OEASE WASTE SERVICES, FOR ANY CONTENT OBTAINED FROM OR THROUGH THE OREASE WASTE PLATFORM, OR FOR ANY INTERRUPTION, INACCURACY, ERROR, EVEN IF THE OREASE WASTE HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Legal Obligations; Indemnification.

By utilizing our services, you acknowledge and agree to comply with established laws and regulations designed to protect everyone involved. We emphasize that no form of harm—whether in person or online—will be tolerated. We do not tolerate any form of discrimination against our service providers based on their color, race, age, nationality, handicap, sexual orientation, or religion. Furthermore, we actively oppose any unwanted sexual advances or statements, fostering a working environment that promotes respect and dignity. Should Orease Waste become aware that you have violated this section 11, Orease Waste shall be entitled, at its own decision, to terminate your user account.

You agree to indemnify, defend, and hold the Orease Waste Parties harmless, from and against any loss, damage, liability, claim, including reasonable attorneys' fees and expenses, arising out of: (1) use of the services; (2) breach of these Legal Terms; (3) your violation or infringement of any other person's right; (4) any negligent acts, or willful misconduct by you which causes harm to Orease Waste Parties in connection with providing the services. Orease Waste reserves the right, at its own cost, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your own expense, with our defense of such claims. You agree that the provisions in this section will survive any termination of your account.

12. Notice

We provide timely notices about our services through general announcements as well as personal emails sent to the address in your account. Each notice is designed to keep you in the loop regarding important changes or updates. Any notifications sent will be considered received 48 hours after posting or 12 hours after emailing. 13. Modifications to Terms

Orease Waste reserves the rights to modify these Terms at anytime. Subtractive changes will take effect 30 days after Orease Waste posts an initial notification on the Orease Waste Home Website homepage or any other relevant web pages on the Website, with respect to such changes. . Any other changes made will be effective seven days from the initial posting, allowing you to stay informed. For necessary legal updates, adjustments may occur immediately, and your continued use of our services implies consent to these changes. We emphasize the importance of understanding our terms and conditions, which may change from time to time. If you disagree with any amendments, please avoid using our platform further. You agree and acknowledge that we’re not liable for the availability or accuracy of any external websites or resources linked through our services. You acknowledge sole responsibility for and assume all risks arising from your use of any such websites or resources.

15. Disputes.

The agreement shall be governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Florida, without regard to the choice or conflicts of law provisions of any jurisdiction.

You and Orease Waste agree that any legal disputes or claims arising out of or related to the Agreement including but not limited to the use of the Tease Waste Platform and services or the Interpretation, enforceability, revocability, or validity of the Agreement, or the arbitrability of any dispute), that cannot be rexsolvedinformally shall be submitted to binding arbitration in Clearwater, FL, except that you may assert claims in small claims court if your claims qualify. The arbitration process is set to be handled by the American Arbitration Association. Under its commercial arbitration rules, we strive for amicable resolutions, so any judgment rendered by the arbitrator can be enforced in any court with jurisdiction. Claims shall be brought within the time required by applicable law. YOU AND OREASE WASTE AGREE THAT ANY CLAIM, ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THE TERMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, COLLLECTIVE, OR CLASS PROCEEDING. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND OREASE WASTE ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.

To the extent that the arbitration provisions provided for herein do not apply, you expressly consent to the jurisdiction of the state and federal courts of Florida for any claims under these Terms. (except for small claims court actions which may be brought in the county where you reside). Further you hereby waive any right to the jury jail.

16. Miscellaneous

These legal Terms and any policies posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Even if we don't enforce a right or provision immediately, it doesn't affect our entitlement to it in the future. Our policies are crafted to ensure compliance with the fullest extent of the law, allowing us to assign our rights and obligations. However, we also acknowledge that challenges beyond our control may occasionally arise. As such, we want to be transparent: we shall not be responsible or liable for any loss, damage, delay, or failure to act caused by such unforeseen causes. There is no joint venture, partnership, employment, or agency relationship established between you and us through the use of our services. By agreeing to these Legal Terms, you acknowledge that they've been designed fairly and will not be interpreted against us simply because we drafted them. You acknowledge that you waive any defenses associated with the electronic format of our legal terms.

17. Changes in Ownership

We may transfer ownership of our platform and services to trusted third parties (whether by way of merger, sale or shares, sale of assets, license or otherwise), your privileges under our agreement will never be compromised. All your personal information is carefully managed and, when necessary, shared only with designated recipients involved in the rights transfer process.

19. Definitions

Capitalized terms used herein and not otherwise defined shall have the meaning set forth below:

"Agreement" means outlines these Terms and terms of any Service Offering, and any software license, whether or subsmitted online and any materials specifically incorporated by reference herein, as such materials may be updated by Orease Waste from time to time in its sole discretion;

"Content" means the visual and audio information, documents, software, and services contained or made available to you in the course of using Orease Waste Platform and Services.

"Intellectual Property Rights" means unpainted inventions, patent applications, patents, design rights, copyrights, trademarks, service marks, trade names, domain name rights, mask work rights, know-how and other trade secret rights, and all other intellectual property rights, derivatives thereof, and forms of protection of a similar nature anywhere in the world and any goodwill associated therewith; and
